These Terms of Service (“Terms”) govern the supply of lithium iron phosphate (LiFePO4) battery packs, modular energy storage systems (ESS), solar inverters, and related engineering components manufactured and supplied by Dongguan Wangli Power Technology Co., Ltd. (“WLUG Energy”) to overseas buyers, EPC contractors, distributors, and corporate purchasers through our website (www.wldlpower.com) and commercial agreements (“Client”).
1. Quotation & Contract Formation
- Validity Period: Written quotations, technical estimates, and Proforma Invoices issued by WLUG Energy remain valid for 30 calendar days from issuance, unless earlier adjusted due to extreme raw material price volatility (such as lithium carbonate cathode costs or international freight fluctuations).
- Order Binding: A contract is deemed executed once both parties sign the Proforma Invoice or Sales Contract and the agreed initial deposit is cleared in our designated corporate bank account.
- Custom Engineering Specs: For custom OEM/ODM battery packs, technical specifications, dimensional drawings, and BMS communication protocols must be confirmed in writing prior to tooling or cell batch matching.
2. Pricing, Currencies & Payment Terms
All standard pricing is quoted in US Dollars (USD) or Euros (EUR) on an agreed Incoterms basis (FOB Shenzhen/Guangzhou, CIF destination port, or DDP by express/air):
- Standard Production Orders: 30% advance deposit by Telegraphic Transfer (T/T) upon order confirmation; 70% balance paid prior to release of original Bill of Lading (B/L) or container dispatch.
- Sample Orders: 100% advance payment via T/T or verified corporate transfer prior to dispatch.
- Irrevocable Letter of Credit (L/C): Permitted for large utility-scale containerized projects upon prior credit verification, issued by a recognized Tier-1 international bank at sight.
3. Delivery, Shipping & Dangerous Goods Compliance
Lithium batteries are classified as UN3480 Class 9 Miscellaneous Dangerous Goods under international maritime (IMDG) and aviation (IATA) codes:
- Certified Packaging: WLUG Energy supplies certified UN-tested packaging cartons, thermal insulation liners, explosion-proof container fixtures, and verified MSDS / UN38.3 test summaries for every shipment.
- Lead Times: Production lead time is typically 15 to 25 business days for standard battery models, and 30 to 45 business days for custom high-voltage containerized systems, counted from receipt of confirmed deposit and technical sign-off.
- Force Majeure: WLUG Energy is exempt from delay liabilities caused by natural disasters, port blockades, maritime embargoes, severe typhoons, or national export control delays beyond reasonable operational control.
4. Intellectual Property & Confidentiality
All technical drawings, BMS firmware source code, proprietary cell testing methodologies, and mechanical enclosures developed by WLUG Energy remain the sole intellectual property of Dongguan Wangli Power Technology Co., Ltd. Clients purchasing OEM customized branding retain exclusive ownership of their registered brand trademarks and external livery.
5. Governing Law & Dispute Resolution
These Terms and any commercial agreements shall be governed by and interpreted under international commercial trade principles and the laws of the People’s Republic of China. Any dispute arising out of or in connection with a commercial contract that cannot be amicably settled shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for final arbitration.
